Corporate Entity: SynaptiOps Automation
Date of Effectuation: Applicable from the date of first payment, the start of service, or the use of our digital platforms.

1. Definitions

To ensure clarity on our rights and processes, the following definitions apply throughout these terms:

  • "The Agency": Shall uniformly and exclusively designate SynaptiOps Automation.
  • "The Client": Shall designate the specific individual, registered corporate entity, or organization engaging the digital and technical services provisioned by the Agency.
  • "The Services": An all-encompassing classification denoting all digital, technical, and consultative offerings provisioned by the Agency, including AI Agents, Workflows, and Custom Development.
  • "Artificial Intelligence (AI) Agent": A software architecture powered by advanced AI, LLMs, and NLP engineered to execute tasks autonomously.
  • "Setup Fee": A mandatory, one-time, upfront, and non-refundable payment made by the Client at project start.
  • "Subscription Fee": The recurring payment for continued access to services and maintenance.
  • "Hallucination": A recognized phenomenon where Generative AI systems generate factually erroneous or nonsensical outputs.

2. Services Provided

2.1 Custom Website Development

Development of professional, responsive, and mobile-optimized digital website infrastructures designed for maximal lead capture. Website development is executed strictly as a time-bound project. Subsequent structural modifications or massive redesigns are strictly excluded and governed by the minor updates allowance or separate quotes.

2.2 Google Review Reply Agent

An AI-powered autonomous monitoring system deployed to maintain continuous, 24/7 surveillance over the Google Business Profile of the Client. The system analyzes sentiment and publishes personalized, contextually accurate replies within one to two hours.

2.3 Business Audit Agent (Pro Plan Exclusive)

Systematically retrieves raw operational data (GBP metrics, lead data) on the first day of every month to generate a detailed multi-dimensional business health report, including high-impact strategic recommendations.

2.4 WhatsApp Automation System

Constructed strictly via the official Meta WhatsApp Business API. The Client bears absolute responsibility for ensuring all contacts have explicitly opted-in to receive communications.

3. Payment Protocols

Our operational model is based on a pre-paid service model.

  • Strict Non-Refundability of the Setup Fee: The Setup Fee is absolutely, unconditionally, and permanently non-refundable under all circumstances, even if cancellation is requested immediately post-payment.
  • Taxation: All pricing is strictly exclusive of the mandatory 18% Goods and Services Tax (GST) mandated by the Government of India.
  • Chargebacks: Fraudulent initiation of a credit card chargeback shall result in immediate, permanent termination of all services and cryptographic deletion of all hosted data.
  • Service Suspension: Late payments are managed through an automated process, with full service suspension between days 22-30 of non-payment.

4. Domain Name Policy and Ownership Rights

Complimentary domain inclusion (where applicable) is valid for the first year of service only. Annual renewals are the sole responsibility of the Client. Under no circumstances shall domain names be registered under any entity other than the legal name of the Client.

5. Client Obligations and Communication Protocols

Within exactly five (5) business days of the remittance of the Setup Fee, all mandatory onboarding assets must be comprehensively provided. Any failure to deliver assets within this timeframe shall automatically extend the project timeline proportionally.

6. Revisions and System Updates

Minor Updates: Paid plans includes a capped allowance for content replacement (text, photos). Requests require seven (7) business days of written notice.
Major Changes: Modifications altering underlying code architecture or requiring AI development time are separately billable and quoted as separate projects.

7. Cancellation Protocols

Written requests must be submitted to synaptiops@gmail.com. For monthly plans, services remain active until the end of the current billing cycle. Yearly plans are strictly non-refundable and will remain active until the end of the purchased year.

8. AI Disclaimers and Limitation of Liability

  • Informational Status: AI outputs do not constitute professional human consulting, financial advice, or legal counsel.
  • AI Hallucinations: Liability shall not be assumed for reputational damage precipitated by anomalous AI hallucinations.
  • Liability Cap: Maximum cumulative financial liability shall never exceed the total sum of subscription fees paid in the three (3) months preceding the claim.

9. Allocation of Intellectual Property Rights

Upon full remittance of all invoices, ownership of deployed website text, provided images, and captured lead data vests in the Client. SynaptiOps Automation irrevocably retains exclusive proprietary ownership over the underlying AI Agent Architecture, prompting frameworks, and automated workflows.

10. Dispute Resolution and Governing Law

This agreement shall be governed by Indian law. Any unresolved dispute shall be settled by binding arbitration located in Noida, Uttar Pradesh, India.
